The short version

  • Spunto is built on AI, and AI can be wrong. Verify anything that matters before you act on it.
  • Your content stays yours — the inputs you bring and the outputs you produce.
  • We can suspend accounts that misuse the service — harassment, illegal use, attacks on the safety layers.
  • These Terms are governed by the laws of Wyoming, USA.

Who we are

These Terms are between you and Spunto Labs LLC. You can reach us at privacy@spunto.ai. By creating an account or using Spunto, you agree to these Terms.

The service

Spunto is an AI agent team platform. Your assistant and the specialist agents you add are AI systems powered by large language models from leading AI providers (currently OpenAI and Google). They can make mistakes, miss context, and produce content that looks confident but isn’t correct. Treat their work the way you’d treat a first draft from a smart collaborator — useful, but worth a human review before it ships.

Alpha-stage service

Spunto is in alpha. We don’t promise specific uptime, performance, or availability. The service may change, break, or pause without notice while we’re iterating toward general availability. If we make significant changes that affect your work, we’ll do our best to give you reasonable notice.

Account and eligibility

  • You must be at least 18 years old to use Spunto.
  • Sign up with accurate information — a real email, a real name.
  • You’re responsible for your account’s security. Keep your credentials private and tell us at privacy@spunto.ai if you think someone else has accessed it.
  • One human per account. Don’t share logins.

Acceptable use

You agree not to:

  • Use Spunto for anything illegal in your jurisdiction.
  • Use it to manipulate, deceive, or exploit other people. This includes the practices prohibited by Article 5 of the EU AI Act — subliminal manipulation, exploitation of vulnerabilities (age, disability, social or economic situation), social scoring, untargeted face-image scraping, and certain emotion-recognition and biometric-categorisation uses.
  • Infringe other people’s rights — intellectual property, privacy, publicity, or anything else.
  • Try to extract our upstream model providers’ system prompts, jailbreak the safety layers, or use Spunto to violate the usage policies of any LLM provider we route requests through (currently OpenAI and Google). Their usage policies are incorporated into these Terms by reference — if their rules forbid something, ours do too.
  • Generate child sexual abuse material, weapons-of-mass-destruction guidance, content designed to harass specific individuals, or anything else our upstream providers prohibit.
  • Use Spunto to build a competing AI service, train other AI models on its outputs, or run benchmarks aimed at producing a derivative product.

We may suspend or terminate accounts that violate these rules. For serious violations, we may do so without notice.

Your content

You own the inputs you provide to Spunto — the messages you send, the files you upload, the projects and knowledge you build. You grant us a limited, worldwide, royalty-free licence to process, store, and display your content as needed to operate the service for you. That licence ends when you delete the content or close your account, except where we’re required to keep records (for example, security logs).

Feedback

If you send us feedback, suggestions, bug reports, or feature ideas about Spunto, we may use them to improve the product without any obligation to you. You’re not granting us a separate licence to anything you don’t choose to share — you’re just agreeing that anything you do share for product-improvement purposes is fair game for us to act on.

AI outputs

As between you and Spunto, you own the inputs and the outputs of the service, to the extent permitted by applicable law.

The qualifier matters. Under the U.S. Copyright Office’s January 2025 guidance, purely AI-generated material may not be copyrightable on its own — copyright protection generally requires human creative authorship. So when you direct, edit, and shape an AI output into something expressive, the human contribution is what the law protects. Pure machine output, untouched, may not be protectable. The law itself sets the limits there, not us.

Outputs may also be inaccurate, incomplete, or similar to outputs generated for other users — large language models are non-deterministic and often converge on similar phrasing for similar prompts. Don’t assume an output is unique, original, or factually correct without checking.

No professional advice

Spunto is not a substitute for professional advice. Don’t rely on it for legal, medical, financial, tax, accounting, mental-health, or safety-critical decisions without verification by a qualified human professional. The same goes for accuracy-critical research — verify important facts before you publish or act on them.

Pricing and billing

Spunto is currently free during our alpha. When paid tiers launch, you’ll be asked to accept updated terms before subscribing — those updated terms will cover pricing, refunds, cancellation, and EU consumer rights including the 14-day right of withdrawal. Until then, no payment is required and no payment terms apply.

Term and termination

These Terms apply for as long as you have a Spunto account. Either side can end the relationship at any time, for any reason:

  • You can close your account from your settings or by emailing privacy@spunto.ai.
  • We can suspend or terminate your account if you violate these Terms, if we’re required to by law, or if continuing the service becomes impractical. For non-emergency cases, we’ll give you reasonable notice when we can.

When your account closes, your data is deleted on the schedule described in the Privacy Policy. The sections of these Terms that should reasonably survive termination — ownership, disclaimers, limitation of liability, indemnification, governing law — do.

Disclaimers

THE SERVICE IS PROVIDED “AS IS” AND “AS AVAILABLE.” SPUNTO LABS LLC MAKES NO WARRANTIES, EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, OR ACCURACY OF AI-GENERATED OUTPUTS.

In plain English: AI is a new technology and can be wrong. We do our best, but we can’t promise it’ll never make mistakes. Treat AI outputs as drafts you review, not final answers you trust.

Limitation of liability

To the maximum extent permitted by law, Spunto Labs LLC’s total liability for any claim arising from or relating to these Terms or the service is capped at the greater of (a) the fees you paid us in the 12 months before the claim, or (b) USD $100.

We’re not liable for indirect, incidental, special, consequential, or punitive damages — including lost profits, lost data, lost revenue, or lost business opportunities — even if we were warned they were possible.

Some jurisdictions don’t allow these limits. If you live somewhere that doesn’t, our liability is limited to the smallest amount permitted by law.

Indemnification

You agree to indemnify and hold Spunto Labs LLC harmless from claims arising from your misuse of the service or your violation of these Terms. Spunto does not indemnify you for intellectual-property claims arising from AI outputs — this is a consumer-tier limitation; enterprise customers can negotiate separate indemnity terms in writing.

Copyright complaints

If you believe content shared through Spunto infringes your copyright, send a takedown notice to privacy@spunto.ai with:

  • Your contact information.
  • Identification of the copyrighted work you say has been infringed.
  • Identification of the allegedly infringing material and where on Spunto it can be found.
  • A statement, made in good faith, that the use is not authorised by you, your agent, or the law.
  • A statement, under penalty of perjury, that the information in your notice is accurate and that you are (or are authorised to act on behalf of) the rights holder.
  • Your physical or electronic signature.

Accounts of users who repeatedly infringe will be terminated.

Governing law and disputes

These Terms are governed by the laws of the State of Wyoming, USA, without regard to conflict-of-laws rules.

If we have a dispute, let’s try to resolve it informally first. Email privacy@spunto.ai with the details and we’ll work in good faith for 30 days to sort it out. If we can’t, the dispute will be resolved exclusively in the state or federal courts located in Wyoming, and you and Spunto Labs LLC consent to the personal jurisdiction of those courts.

You and Spunto agree to bring any claim only in your or our individual capacity — not as a plaintiff or class member in a class or representative action.

Changes to these Terms

We may update these Terms when our service or the law changes. Material changes get an in-app or email notice before they take effect. Continued use of Spunto after the effective date means you accept the updated Terms. If you don’t accept them, close your account before they take effect.

Miscellaneous

  • Assignment. We may assign these Terms (for example, in a merger or acquisition). You can’t assign them without our written consent.
  • Severability. If a court finds part of these Terms unenforceable, the rest stays in force.
  • Entire agreement. These Terms, together with the Privacy Policy and any other policies we link to, are the entire agreement between you and Spunto Labs LLC about the service.
  • No waiver. If we don’t enforce a right under these Terms right away, that’s not a waiver of it.
  • Force majeure. We’re not liable for failures or delays caused by events outside our reasonable control — natural disasters, war, civil unrest, government actions, network outages, or third-party provider failures.
  • Headings. Section headings are for convenience and don’t affect interpretation.
